Terms and Conditions

Whereas RBC Life Sciences Inc. (RBC) distributes certain products in the United States that are not available for resale in my selected country and whereas I would like to purchase such products for my personal consumption, but not for resale or any other commercial purpose. I hereby agree as follows:

1. Policies and Procedures

   To follow and be bound by all the provisions of RBC’s U.S. Policies and Procedures (the “Policies”) which have been provided to me as currently published, and which are incorporated in this Agreement, and all amendments made by RBC from time to time. If I do not follow any provision of the Policies, my customer account and this Agreement will be cancelled.

2. Effective Date

   The effective date of this Agreement will be the date that I execute this Agreement electronically via the RBC’s Internet sign-up procedure and it is accepted by RBC, or if the online option is not available, the date this Agreement is received and accepted by RBC via facsimile or as a PDF attachment to electronic mail.

3. Products

   1. I may not order from RBC more than a 3-month supply of any single product for household per calendar month.
   2. The products are for my personal use and members of my immediate family that currently reside with me and are not for resale.
   3. I must properly declare and value (full wholesale purchase price) the products at the appropriate customs checkpoint.
   4. I am responsible for shipping costs and all taxes and duties associated with the appropriate customs declarations.
   5. RBC is not responsible for products confiscated by customs officials. I bear all risk of loss if the product is not released from customs.
   6. I cannot market, distribute or resell RBC’s products in my country or any other country.
   7. I may refer other customers to RBC’s NFR program and the opportunity to purchase certain products for personal consumption.
   8. The products may only be purchased wholesale directly from RBC and there is no requirement to purchase products or maintain any inventory of products.
   9. The production and/or distribution of any promotional materials or any other advertising (including those produced by RBC) relating to NFR or its products or the solicitation of customers is prohibited without NFR’s prior written consent.
   10. I may not make any claims not authorized in writing by RBC, including any health claims about RBC’s products or any claims or guarantees of specific earnings potential.
   11. I may not relabel or otherwise change the packaging or label of any RBC product.
   
   

4. Bonus Payment

   1. RBC will timely pay any bonuses due to me in United States Dollars pursuant to the NFR Bonus Plan set forth in RBC’s Compensation Plan. Depending on the location, payments may be made by direct deposit or designated cash card (“Cash Card”).
   2. I authorize RBC to deposit the payment of any Bonuses to an account at the financial institution associated with the designated Cash Card or my account via direct deposit. If a Cash Card is used, Bonuses will be deposited in an account of a financial institution that I can access with my Cash Card, which is a reloadable, reusable, prepaid stored-value, ATM debit card.
   3. RBC shall not be liable to me for any failure to access my account or provide direct deposits to my account in a timely manner unless such failure or loss is a direct result of RBC’s gross negligence or intentional misconduct.
   
   

5. Representations and Warranties

   1. I am authorized to execute this Agreement, and when executed and delivered by me and accepted by RBC, the Agreement constitutes a legal, valid and binding obligation, enforceable against me.
   2. The information provided by me in this Agreement is accurate and complete and that the providing of false or misleading information by me authorizes RBC, at its election, to declare this Agreement void from its inception.
   3. The government identification number provided in this Agreement is my correct and proper identification number for my country of residence.
   
   

6. Indemnity and Limitation of Liability

   I shall indemnify and hold RBC and its affiliates and their shareholders, officers, directors and employees harmless from and against any claim, demand, liability, loss, action, causes of action, costs, or expenses, including, but not limited to, reasonable attorneys’ fees, arising out of, in connection with, or related to (i) any violation of this Agreement by me; (ii) my negligent or intentional representations, acts, operations or omissions; or (iii) any breach or violation by me of any applicable law, rule or regulation.
   RBC and its affiliated companies shall not be liable for any special, indirect, direct, incidental, punitive, or consequential damages, including loss of profits, arising from or related to my breach of this Agreement. I agree that the entire liability of RBC and its affiliated companies for any claim whatsoever related to my relationship with RBC, including but not limited to any cause of action arising in contract, tort, or equity, will be limited to the cost of products that I have purchased from RBC under this Agreement.

   I agree to resolve all disputes with RBC and its affiliated companies, or with other Customers, related to RBC related activities, through RBC’s arbitration policy set forth in the Policies.

7. Applicable Law

   The place of origin of this Agreement is the State of Texas, U.S.A. The terms and conditions of this fully integrated agreement shall be construed in accordance with Texas law.

8. Assignment

   I agree that RBC may assign this Agreement to an affiliated RBC associated with my country of residence if RBC officially opens that country. I may not assign this Agreement without the prior written consent of RBC.

9. Termination

   I understand that RBC may terminate at any time for any reason the NFR Program and the related shipment of products and Bonus Plan, in my country upon written notice in RBC communications.
